These Terms of Service (“Terms”) govern your access to and use of GetIDX.com and any services provided by Imagine Digital Expressions Inc., DBA Intelligent Digital eXperience (IDX) (“IDX,” “we,” “us,” or “our”).

By accessing our website, submitting payment, signing an agreement, or engaging our services, you agree to be legally bound by these Terms.

If you do not agree, do not use our website or services.

2. Nature of Services

IDX provides structured digital implementation and operational services, including but not limited to:

CRM system setup (Essential & Pro)

Automation configuration

Business phone and messaging integrations

WhatsApp integration

Website design and development

Marketing system setup and campaign configuration

Graphic design

Optimization Program (monthly strategic system evolution)

Affiliate program participation

IDX provides implementation and strategic guidance services.
IDX does not sell proprietary software platforms.
Third-party tools may be used to implement solutions.

3. Service Structure & Scope

3.1 One-Time Setup Services (Essential & Pro)

CRM setup services are one-time implementation services unless otherwise stated.

They include structured configuration of systems, pipelines, automations, forms, messaging tools, and related components as agreed upon in the proposal or invoice.

Unless explicitly stated in writing:

Ongoing subscriptions are not included

Post-delivery edits are not included

New automations are not included

Marketing management is not included

Each automation is defined as:

One trigger + up to five (5) actions.

Advanced logic, conditional branching, additional workflows, or custom development are quoted separately.

All setup services are considered complete once tested and delivered.

3.2 Optimization Program (Monthly)

The Optimization Program is a recurring strategic evolution service available after completion of The Pro System.

It includes:

One (1) 60-minute strategy session per month

Up to two (2) improvements or new automations per month

Messaging or follow-up optimization

Process refinement

Structured priority support

Monthly progress summary

This program is not technical support.

Unused improvements do not roll over unless agreed in writing.

IDX may adjust structure, format, or availability of the program with reasonable notice.

3.3 Website Design & Development

Website services may include:

Design and layout creation

Technical build

Form integration

Basic automation connection

Unless stated otherwise:

Hosting is not included

Domain purchase is not included

Ongoing maintenance is not included

Copywriting beyond agreed scope is not included

SEO guarantees are not provided

Client is responsible for:

Providing content, images, and approvals

Maintaining hosting accounts

Keeping third-party subscriptions active

Final approval constitutes project completion.

3.4 Marketing Services

Marketing services may include:

Campaign setup

Funnel configuration

Ad account structure

Tracking setup

Email sequence implementation

IDX does not guarantee:

Leads

Sales

Revenue

ROI

Platform approval

Marketing performance depends on budget, market conditions, offer quality, and client responsiveness.

Advertising budgets are separate from service fees.

3.5 Graphic Design

Design services may include:

Logos

Brand assets

Social graphics

Marketing materials

Unless stated:

Unlimited revisions are not included

Brand strategy consulting is not included

Trademark registration is not included

Ownership of final approved deliverables transfers upon full payment.

IDX retains the right to display work in its portfolio unless otherwise agreed.

4. Payments & Refund Policy

Payment terms are stated in your invoice or proposal.

Setup services require payment before work begins.

All payments are non-refundable once work has started.

Recurring services may require advance monthly payment.

Late payments may pause active services.

Communication usage fees (SMS, calls, emails, WhatsApp) are billed separately by the platform provider and are not included in service fees.

IDX does not control third-party communication rates.

5. Third-Party Platforms

Services may involve third-party platforms including but not limited to:

CRM platforms

Hosting providers

Email systems

SMS providers

Payment processors

Advertising platforms

IDX is not responsible for:

Platform outages

Pricing changes

Account suspensions

Policy updates

Technical failures beyond our control

Clients must comply with third-party terms at all times.

6. Data Ownership & Responsibility

Clients retain ownership of their data.

IDX does not:

Monitor client data

Ensure regulatory compliance

Guarantee platform security

Clients agree NOT to store:

Social Security Numbers

HIPAA-protected health information

Financial account data

Regulated or protected data

IDX systems are not designed for regulated data storage.

IDX is not liable for:

Data loss

Breaches

Client misuse

Legal compliance failures

Upon delivery and acceptance, responsibility transfers to the client.

7. Acceptable Use

You agree not to:

Send spam or unsolicited bulk messaging

Use deceptive or misleading claims

Violate advertising policies

Misrepresent IDX

Use systems for unlawful activity

IDX may suspend services for violations.

8. Intellectual Property

All IDX materials, frameworks, processes, and methodologies remain property of IDX.

Clients receive a limited, non-transferable right to use deliverables for their business.

Affiliate materials and branding must not be altered or misrepresented.

9. Affiliate Program

Participation in the IDX Affiliate Program is governed by the separate Affiliate Policy published on our website and/or Affiliate Portal.

In case of conflict, the Affiliate Portal terms prevail.

IDX may suspend or terminate affiliate participation for violations.

10. Limitation of Liability

To the fullest extent permitted by law:

IDX is not liable for:

Indirect damages

Lost revenue

Lost profits

Business interruption

Platform failures

Total liability is limited to the fees paid for the specific service giving rise to the claim.

11. No Guarantee of Results

IDX provides structured implementation and strategic support.

We do not guarantee:

Financial results

Sales growth

Lead volume

Business success

Business performance depends on client execution, market conditions, and external variables.

12. Termination

IDX may suspend or terminate services if:

Payment is not made

Policies are violated

Fraud is suspected

Legal risk arises

Clients may terminate recurring services per written notice terms stated in their agreement.

Outstanding balances remain due.

13. Governing Law

These Terms are governed by the laws of the State of Florida, United States.

Any disputes shall be resolved in the courts of Orange County, Florida.

14. Changes to Terms

IDX may update these Terms at any time.

The version published on GetIDX.com is the controlling version.

Continued use of services constitutes acceptance of updates.
